These terms apply when a business ("you") orders services from ZERONE International LLC ("ZERONE", "we") through an order form, an online order page or a written proposal (each an "Order"). The Order and these terms together are the whole agreement. If the Order and these terms differ, the Order applies.
1. Services
We provide the services listed in your Order, for example a website and its hosting, Google Business Profile updates, review requests, missed-call text-back, an online booking or quote form, an AI phone assistant and a monthly report. The package descriptions on our pricing page at the time of your Order describe what each package includes.
Small edits are included in monthly plans. A "small edit" is a change that takes us up to 30 minutes, such as new opening hours, a new photo or a price update. Up to 4 small edits per month are included. Larger changes are quoted separately before we start.
2. Setup and delivery
We start setup after we receive the first payment and the information we need from you (business details, photos, logo, services, prices). We tell you the expected delivery date in writing.
Some features depend on third parties. Text-message features need a carrier registration for your business, and each review round takes about 10–15 days. Google may take days or weeks to process profile changes or verifications. Delays caused by these third parties, or by missing information from you, move the delivery date and are not a breach of these terms.
3. Fees, billing and taxes
- Monthly fee. Plans are billed monthly in advance, starting on the delivery date, or on the date in your Order.
- Setup fee. Unless your Order says otherwise, 50% of the setup fee is due when you order and 50% on delivery.
- Usage. Plans with an AI phone assistant include the call minutes stated in your Order. We charge extra minutes at the rate stated in your Order. We tell you before you go over the included minutes.
- Payment. We bill through hosted payment pages from Stripe, Square or PayPal. We never ask for or store your card details.
- Taxes. Prices do not include sales tax. Applicable sales tax is added where required.
- Late payment. If a payment is more than 14 days late, we may pause the services after giving you written notice. We do not delete anything during a pause.
4. Term and cancellation
- Minimum term. Monthly plans have a 3-month minimum term. After that they continue month to month.
- Cancelling. You may cancel at any time by e-mail to [email protected]. Cancellation takes effect at the end of the current billing month, but not before the minimum term ends.
- Annual payment. If you pay 12 months in advance, the price in your Order applies for those 12 months. Unused prepaid months are not refunded, except as described in sections 4 and 5.
- Ending by us. We may end the services with 30 days' written notice, or at once if you seriously breach these terms (for example, unpaid fees after notice, or unlawful use). If we end the services without a breach by you, we refund any prepaid fees for the months after the end date.
5. Satisfaction guarantee
If you are not satisfied, tell us in writing within 14 days after your first monthly payment. We will then refund your first month's fee and end the services. The setup fee is not refunded once the work is delivered. This guarantee applies once per business.
6. What stays yours
- Domain, profiles and accounts. Your domain name, Google Business Profile and other accounts are registered in your business's name and remain yours. Where we need access, you invite us as a user or manager, and you can remove us at any time. We never ask for your passwords on paper, by text message or by e-mail.
- Your content. Texts, photos, logos and data you give us remain yours. You give us permission to use them to provide the services.
- Your website. When the services end, we give you the files of your website. We also help move it to a provider of your choice, or we hand over the hosting account, within 14 days. Our own tools, templates and software stay ours. You may keep using the delivered website.
- Our portfolio. We may show your website in our portfolio only if you agree in writing. You can withdraw that permission at any time.
7. Your responsibilities
You agree to:
- give us accurate information about your business and keep us informed of changes;
- hold the licenses, permits and insurance your business needs;
- have the right to use everything you give us, including photos and customer data;
- get any consent your own customers must give before you ask us to text, call or e-mail them on your behalf, and tell us about any opt-out you receive;
- not use the services for spam, misleading claims, unlawful content or anything that breaks the rules of Google, the phone carriers or our providers.
8. Reviews
Review requests go to all of your customers, not only the satisfied ones, as Google's rules require. We never offer or give anything in return for a review, and we do not write or post reviews. Reply drafts for reviews are suggestions. You decide what is published.
9. AI features
Some services use artificial intelligence, for example the phone assistant, the website chat assistant, reply drafts and reports.
- AI can make mistakes. Please check what it does for you, especially prices, appointments and promises.
- The phone assistant tells every caller that it is an AI assistant and that the call is recorded.
- The phone assistant is not an emergency service. It does not replace 911, alarm systems or on-call staff. It may pass urgent messages to you, but we cannot guarantee that a message reaches you in time.
- You decide which information the assistant may give out. We set it up based on what you tell us.
10. Accessibility
We build websites with the aim of meeting the Web Content Accessibility Guidelines (WCAG) 2.1 at level AA, and we test them with automated accessibility checks. Accessibility also depends on the content you supply and approve, such as photos without descriptions or PDF menus. We cannot guarantee that a website will never receive an accessibility complaint.
11. Third-party services
Our services rely on providers such as Google, Cloudflare, phone carriers, Twilio, Retell AI, Anthropic and payment providers. Their availability, rules and prices are outside our control. If a provider changes its rules or prices in a way that affects your service, we tell you and propose a fair change. If you do not agree, you may cancel without the minimum term applying.
12. Warranties and liability
- We perform the services with reasonable skill and care. Apart from that, the services are provided "as is". We do not promise any particular result, such as more customers, rankings, reviews or revenue. Examples and calculators on our website are estimates and are not guaranteed.
- Neither party is liable for indirect or consequential losses, such as lost profits or lost business. This does not apply to fraud, or to amounts you owe us.
- Our total liability under these terms is limited to the fees you paid us in the 3 months before the event that caused the claim.
13. Confidentiality and data
We keep your business information confidential and use it only to provide the services. We handle personal data as described in our Privacy Policy and the Small Business Plans Privacy Notice. When we process your customers' data for you, we act as your service provider (see section 7 of that notice).
14. Changes to these terms
We may update these terms. We tell you about material changes at least 30 days in advance by e-mail. The version that applies to your Order is the one you accepted. A new version applies to you only from your next renewal month, and only after the notice period. If you do not agree, you may cancel before it takes effect.
15. Law and disputes
New York law governs these terms. Before going to court, we will both try to settle a dispute in good faith by e-mail within 30 days. Courts in Suffolk County, New York, have jurisdiction.
